BY-LAWS

It is the mission of the Memphis City Schools Parent Assembly to promote the educational well being of the children of Memphis through active parental involvement in the school system. The Memphis City Schools Parent Assembly will promote the educational achievement of students by encouraging parents to support their children’s educational development at home, at school and in the community; by assisting the school system in communicating the needs and goals of the school system to the community and to key decision makers; and by communicating the concerns of parents to the Superintendent and other school officials.

Article I – Name

Section 1 – The name of the organization shall be the Memphis City Schools Parent Assembly.

Article II – Purpose

Section 1 – The Parent Assembly will support the school system in advocating for sound educational programs and policies at the local, state and national level.

Section 2 – The Parent Assembly will advise the Superintendent on issues of concern to
parents.

Section 3 – The Parent Assembly will encourage the development of strong parent
organizations at all schools.

Article III – Organization

Section 1 - Each public school in the City of Memphis shall elect one parent representative and one alternate to the Parent Assembly. The representative and alternate shall be elected by a parent group at the school (e.g., PTA/PTO, school leadership council, booster club).
Assembly representatives shall serve for a two-year term, which will run consecutively with a school year.

A parent representative who cannot attend an Assembly meeting may send the alternate to attend the meeting. The alternate shall have voting privileges.

If a member of the Parent Assembly is no longer affiliated with a school, the school can appoint the alternate as the new representative or choose to allow the current representative to serve until the end of the school term.

Section 2 - The Executive Board of the Parent Assembly shall consist of thirteen (13) members. Nine of the members shall be Parent Assembly representatives who are elected by the full Parent Assembly. Four of the members shall be representatives of district wide or citywide parent organizations and/or associations.

Section 3 - Election of Assembly Representative to the Executive Board Representatives will be elected by academic levels: high school, middle school and elementary school as they are designated by Memphis City Schools. Each of the three levels shall elect three representatives. In the event that this process results in an insufficient number of representatives, the full Assembly will be open for nominations to fill the additional seats.

Section 4 - Election of Organization/Association Representatives to the Executive Board

The nine (9) parent representatives to the Executive Board will recommend organizations to be considered for a seat on the Executive Board. For an organization to be considered, one of its primary goals must be to promote parent involvement in Memphis City Schools. The organizations selected will be invited to send a representative to make a presentation before the Executive Board. The four (4) organizational representatives shall be elected by the nine (9) Assembly representatives to the Board by a majority vote.

If an organization/association member of the Executive Board is no longer affiliated with the organization, the organization can elect a new representative or choose to allow the current representative to serve until the end of the school term.

Section 5 - Power of the Executive Board

The Executive Board shall have the power to recommend and/or approve specific activities of the Assembly, set the agenda for Assembly meetings, meet with and advise the Superintendent and other district personnel on issues of concern or appoint other committees to engage in such meetings, and appoint task forces to review specific issues.

Section 6 - Process for Decision-making

Executive Board – Roberts Rules of Order (newly revised edition) are followed in conducting meetings and voting on action items. A quorum is needed to conduct business. A quorum shall consist of a majority (7) of the Executive Board members. A majority vote shall be needed to finalize all business.

Article IV - Standing Committees

1. Assembly wide Committee on Parental Concerns

- Receive input from parents at the schools as well as other parents on issues or topics of concern
- Develop processes for obtaining input on parental concerns

2. Committee on Legislation

- Advocate on behalf of the school district before local and state legislative bodies
- Meet with parents to explain various legislative issues
- Conduct informational sessions on various legislative issues
- Attend public budget meetings and advertise meetings to other parents

3. Committee on Parental Involvement

- Plan citywide or school wide parent involvement
- Help schools form parent organizations/associations

4. Committee on Communications

- Promote attendance at Assembly meetings
- Develop a newsletter
- Work with the MCS Department of Communications

Article V - Duties of Officers

Section 1 - Chair

The chair shall:
- conduct regular meetings
- facilitate the development of meeting agendas
- serve as a liaison between the Executive Board and Assembly members
- monitor committee progress
- delegate assignments to other members

Section 2 - Vice Chair

The vice chair shall:
- perform the aforestated duties of the chair in his/her inability to act
- assist the chair in implementing responsibilities

Section 3 - Secretary

The Secretary shall:
- record all proceedings at meetings
- maintain file copies of agendas, minutes and committee reports and correspondence

Section 4 - Parliamentarian

The Parliamentarian shall:
- advise the chair concerning the rules of parliamentary procedure
- apprise Assembly members of rules and procedures


Article VI - Ad Hoc Committee

Section 1 - The Executive Board may create an ad hoc or standing committee as necessary. The term of each committee shall be as needed.
